Terms and Conditions

1. 1. Program Overview
2. 1. 1.1 - The 2026 Nice Dealer Loyalty Program ("Program") is offered to authorized dealers who meet the eligibility criteria outlined herein.
   2. 1.2 - Participation in the Program is voluntary and subject to acceptance of these terms and conditions.
3. 2. Eligibility
4. 1. 2.1 - To qualify for Program participation, dealers must be authorized resellers of 2GIG ("Products").
   2. 2.2 - To receive Program benefits, dealers must purchase Products from a distributor who provides Nice with point of sale (POS) data monthly which includes dealers name and distributor account number.
   3. 2.3 - Program benefits will be calculated based on purchases of Products from a distributor(s) of the dealer's choosing.
   4. 2.4 - Nice reserves the right to determine eligibility and may modify eligibility criteria at its sole discretion.
   5. 2.5 - Any dealer currently on a special pricing program is not eligible to participate in the Program.
5. 3. Enrollment
6. 1. 3.1 - Dealers must enroll in the Program by completing the official enrollment form at: https://go.2gig.com/dealer-loyalty-program
   2. 3.2 - Nice reserves the right to accept or reject any enrollment application at its sole discretion.
7. 4. Program Benefits
8. 1. 4.1 - Dealers participating in the Program may be eligible for certain Program benefits, including but not limited to:
      1. a. Volume based price discounting provided through dealer's selected distributor(s).

   2. Discount Table:

      Based on the Tier level discount, the distributor's price may vary.

   3. 4.2 - Nice reserves the right to modify or terminate Program benefits at any time with or without notice.
   4. 4.3 - The 2026 Nice Dealer Loyalty Program begins Jan 1, 2026, and runs through December 31, 2026.
   5. Effective April, 2026, the new Tier 1 level of 2% is added to the Program. Also effective April 1, 2026, the Elite Tier level discount is increased from the former 9% to the new 10%. The new Tier One discount and the new 10% Elite Tier discount are not retroactive and apply only to applicable purchases of Products made on or after April 1, 2026.
9. 5. Earning and Redemption
10. 1. 5.1 - Rewards level discounts are earned based on eligible Product purchases or other qualifying activities as outlined in the Program guidelines.
    2. 5.2 - Rewards level discounts apply only to the enrolled dealer which qualified for them and cannot be transferred, assigned, or shared with any other person or business.
    3. 5.3 - Nice reserves the right to adjust, reduce or eliminate discounts in the case of errors or fraudulent activities, including but not limited to errors or fraud committed in calculating Product purchases.
    4. 5.4 - Discount adjustments based on purchases will be adjusted approximately 45 to 60 days from the purchase level attainment date.
11. 6. Termination and Changes
12. 1. 6.1 - Nice reserves the right to terminate or modify the Program at any time without prior notice.
    2. 6.2 - Dealers may terminate their participation in the Program by providing written notice to their Regional Sales Manager at Nice.
13. 7. Confidentiality
14. 1. 7.1 - Dealers agree to keep confidential any information provided by Nice and the dealer's distribution partner(s) related to the Program.
    2. 7.2 - Nice may use dealer information for Program administration and its own marketing purposes.
15. 8. Compliance with Laws
16. 1. 8.1 - Dealers agree to comply with all applicable laws and regulations relating to participation in the Program.
    2. 8.2 - Any fraudulent or abusive activity may result in the immediate termination of a dealer's participation in the Program.
17. 9. Governing Law
18. 1. 9.1 - These terms and conditions are governed by the applicable laws of the State of California. Any dispute arising out of or in connection with this Program shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

20. 1. 10.1 - For questions or concerns regarding the Program, contact your Regional Sales Manager.
21. 11. Program Guidelines
22. 1. 11.1 - Products purchases made during the 2026 calendar year will be used to determine the discounting level.
    2. 11.2 - To participate dealers must enroll at: https://go.2gig.com/dealer-loyalty-program
    3. 11.3 - Purchases must be made from a distributor providing point of sale (POS) data to Nice monthly. Note: As outlined above discount tier calculations will be determined from Product purchases made from a distributor(s) selected by the dealer.
    4. 11.4 - Dealers will earn discounts based on their Products purchases in accordance with the Discount Table in Section 4. Discounts will be paid directly from dealer's selected distributor, not Nice. The discount will only apply to Products purchases. Purchases must be validated by distributor provided POS before the discount level is applied, typically 30-60 days following the applicable Product purchase.
    5. 11.5 - A dealer's total net Products purchases from its selected distributor(s) in the Program calendar year will determine the discount applicable to the dealer's Products purchases from that distributor in the subsequent Program calendar year. For example:
       1. a. If a dealer bought $15,000 in Products from its selected distributor(s) in 2025, the dealer would earn a 5% discount on Product purchases from said distributor(s) between $10,000 and $24,999.
       2. b. In 2026, the dealer would maintain their 5% discount on all their Product purchases from that distributor(s). If the dealer purchased $24,999 in Product from the distributor(s) in 2026, the dealer would maintain the 5% discount for Product purchases from the distributor(s) in 2027.
       3. c. If a dealer fails to achieve a discount level in year two after qualifying in year one, they will be required to earn their discount level back in year three based on the discount table. As an example, if a dealer purchased $11,000 in Products from its selected distributor(s) in 2025, it would qualify for a 5% discount on Product purchases from that distributor(s) in 2026. However, if the dealer's total Product purchases from that distributor(s) in 2026 were less than $10,000, then the dealer's Product purchased from the distributor(s) in 2027 would not qualify for any discount until those purchases reach $10,000.
    6. 11.6 - Dealers may be assigned discount levels in the 2026 Program year subject to Nice's approval based on their 2025 Products purchases.
23. 12. Miscellaneous
24. 1. 12.1 - Nice reserves the right to cancel, terminate, suspend, modify, or amend this Program or any portion thereof, including but not limited to these 2026 Nice Dealer Loyalty Program Terms and Conditions (“Program Terms”), without liability, at any time and for any reason in its sole and absolute discretion.
    2. 12.2 - Nice and all dealers enrolled in the Program agree that these Program Terms are the complete and total understanding of the parties related to its subject matter, and these terms and conditions supersede all prior or contemporaneous proposals (whether oral or written), understandings, representations, conditions, warranties, covenants, and other communications between the parties relating hereto.
    3. 12.3 - Nice reserves the right to set off any amounts it owes dealer under this Program against any amount dealer owes to Nice under this Program or any other agreement between Nice and dealer.
    4. 12.4 - Nice shall not be responsible for any loss, damage or injury resulting from the Program or the use of any discount or other benefit offered by the Program.
    5. 12.5 - Nice's total liability under the Program shall not exceed the total value of all discounts earned by a dealer thereunder.
    6. 12.6 - Nice reserves to itself the right to interpret these Program Terms and to make all decisions regarding the Program in its sole discretion.
